Discussion and update regarding creation of and board appointees to 501(c)(3) organization for fundraising relating to activities honoring military service and Hampton-related military history.

 

A RESOLUTION AUTHORIZING THE CREATION OF A SEPARATE ENTITY EXEMPT FROM FEDERAL TAXATION UNDER IRC SECTION 501(C)(3) TO SOLICIT PRIVATE FUNDING TO SUPPORT PUBLIC TRIBUTES TO HAMPTONS MILITARY HISTORY, MILITARY RELATIONSHIPS AND THE MILITARY SERVICE OF HAMPTON RESIDENTS.

 

WHEREAS, the Council of the City of Hampton has long recognized the value of its relationships with the United States military installations in and around Hampton Roads; and

WHEREAS, the Council of the City of Hampton has long recognized and acknowledged the Citys rich military history and the dedicated military service of its residents; and

WHEREAS, Council seeks to celebrate, recognize and honor, by public tributes that are highly visible and lasting, the Citys military history, military relationships and the military service of its residents through the creation of a City War Memorial and through the lighting of a flag at Fort Wool and other tributes; and

WHEREAS, on the advice of its Military Affairs Committee, Council understands that up to $300,000.00 is required to sufficiently fund the development of a City War Memorial and other tributes; and

WHEREAS, the City seeks to establish a separate 501(c)(3), non-profit entity to solicit and receive funds from private funding sources not otherwise available to the City that are specifically allocated to non-profit organizations (such as grants, private donations, property gifts, etc.) to support the tributes described here; and

WHEREAS, Council acknowledges that creation of such a separate entity requires its authorization and appropriate direction to the City Manager to cause to be drafted Articles of Incorporation, Bylaws and a means of establishing a Board of Directors and officers for the entity as the initial steps in the entity formation process;

NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Hampton, Virginia, (1) that the City Manager, in consultation with the Military Affairs Committee of this Council, is hereby authorized and directed to take the steps necessary to create a separate entity exempt from federal taxation under Internal Revenue Code Section 501(c)(3) to solicit private funding to support public tributes to Hamptons military history, military relationships and the military service of Hampton residents, (2) that the name of the entity shall be The Hampton Military History Foundation; (3) that the stated purpose of the entity shall be to preserve and promote community awareness, recognition and appreciation of Hamptons military heritage, the contributions of military installations to the Hampton community, and the continuing contributions of Hampton residents to the governments uniformed services; (4) that Council shall review the proposed Articles of Incorporation and By-laws for approval before filing; and (5) that staff shall proceed with tax exemption filings as soon as legally practicable.
