Resolution Authorizing the Transfer of 38,840 Sq. Ft. of Land at Settlers Landing Road to the Industrial Development Authority of the City of Hampton

 

 

WHEREAS, the Council of the City of Hampton (the Council) has set as a priority the revitalization of downtown Hampton to attract investment, new business and new vitality to downtown and has adopted the Downtown Master Plan to accomplish those goals; and

 

WHEREAS, the Council, with the assistance of the Hampton Redevelopment and Housing Authority and its subsidiary, Hampton Economic Development Corporation which now owns the Hampton Marina Hotel and Garage site (the Property), has furthered its accomplishment of its Downtown revitalization goals through the attraction of a buyer for the Property, namely Hampton Hotel Associates, LLC; and

 

WHEREAS the City of Hampton is the owner of a parcel of real property containing 38,840 sq. ft. in area located at the Property (the Parcel), and that parcel is needed to complete the sale of the Property to Hampton Hotel Associates, LLC; and

 

WHEREAS, the Industrial Development Authority of the City of Hampton, Virginia (the Authority) was created for the purpose of promoting industry and developing trade by inducing manufacturing, industrial and commercial enterprises to locate in the City, as well as to promote and encourage the creation and development of new businesses in the City; and

 

WHEREAS, the Council seeks to accomplish its priorities regarding revitalization of the Downtown area through transfer of title to the Parcel to the Authority as authorized by Virginia Code 15.2-4917, to facilitate the sale of the Property to Hampton Hotel Associates, LLC, the Council specifically finding it to be in the best interest of the City to do so.

 

NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Hampton , Virginia as follows:

1. That it approves the transfer of the Parcel to the Industrial Development Authority of the City of Hampton for the purposes set forth above and, accordingly, the City Manager or his authorized Designee is hereby authorized to execute and deliver to the Authority any and all necessary legal documents to effectuate the transfer of title to the Parcel; such documents to include but not necessarily be limited to, deeds, easements, and releases for sale and transfer, and conveyance of the Parcel described above, and shall be in a form that shall substantially comply with the resolution with such completions, omissions, insertions and changes that may be approved by the City Manager or his designee, and that such the Managers execution of such documents or execution by his Designee shall constitute conclusive evidence of the Managers approval of such completion, omission, insertion and change.

 

2. That a photocopy of this resolution may be given to any third party inquiring as to the authority of the City Manager or his Designee to execute and deliver any deed, instrument, or writing of the nature described herein, and such photocopy shall confer the same right or reliance and have the same effect as the original counterpart hereof attached to the minutes of the meeting at which it was adopted.

 

3. This resolution shall take effect immediately.
