Resolution authorizing the conveyance of approximately 2.29 acres of real property on Medical Drive in the Coliseum Central District of Hampton to the Hampton-Newport News Community Services Board Property Company, Inc. and the execution of the Purchase and Sale Agreement

 

RESOLUTION

WHEREAS, the City of Hampton (the City) is the owner of a parcel of real property consisting of approximately 2.29 acres known as the Mason Tract and located on Medical Drive in the Coliseum Central District (the Property) adjacent to property owned by the Hampton-Newport News Community Services Board Property, Inc. (the CSB) and the Hampton Sentara Careplex;

 

WHEREAS, in an effort to improve and consolidate services to its clients, the CSB is seeking to construct a 45 bed nursing home for geriatric patients suffering from certain mental illnesses such as dementia and Alzheimer on the Property;

 

WHEREAS, City staff has determined that the proposed development is compatible with the surrounding land uses and will enable the CSB to provide better resources and more comprehensive services to its clients at the nursing home facility;

 

WHEREAS, City Council is of the opinion that the Property is in excess of the needs of the City and it is expedient and in the best interests of the City to convey the Property to the CSB for $445,000 in that (1) it removes an excess parcel of real estate from the City's inventory; (2) it is a significant demonstration of support for an organization that provides valuable services to its citizens; and (3) the proposed development is the highest and best use for the Property based on the surrounding land uses; and

 

WHEREAS, the Council has determined that the terms and conditions of the Purchase and Sale Agreement are acceptable.

NOW, THEREFORE, BE IT RESOLVED, by the Council of the City of Hampton, Virginia, as follows:

 

1. That it approves the conveyance of the Property to the Hampton-Newport News Community Services Board Property, Inc. and, accordingly, the City Manager or his authorized Designee is hereby authorized to execute and deliver to the CSB any and all necessary legal documents to effect the transfer of title to the Property; such documents shall include, but not be limited to, contracts, deeds, easements, and releases for sale and transfer, and conveyance of the Property described above, and shall be in a form that shall substantially comply with the terms of this resolution with such completions, omissions, insertions and changes that may be approved by the Officer executing said documents; that the Officers execution of such documents shall constitute conclusive evidence of the Officers approval of such completion, omission, insertion and change; and

 

2. That it approves the terms of the Purchase and Sale Agreement and accordingly, the City Manager or his Authorized Designee is hereby authorized to execute and deliver the aforesaid document to the appropriate parties in substantially the form attached hereto.

 

THIS RESOLUTION REQUIRES AN AFFIRMATIVE VOTE OF THREE-FOURTHS OF ALL OF THE MEMBERS ELECTED TO COUNCIL
