W I T N E S S E T H: That for and in consideration of TEN DOLLARS ($10.00) cash in hand paid to the Grantor by the Grantee, and other good and valuable consideration, the receipt of which is hereby acknowledged, the Grantor does hereby grant and convey with SPECIAL WARRANTY to the Grantee, its successors and assigns, forever, a temporary construction and permanent easement, hereinafter described, for the purpose of constructing, operating and maintaining sewer lines, accessories and appurtenances, said easement being over, on and beneath the surface of the following parcel of land: All that certain lot, part lot, piece or parcel of land situate, lying and being in Hampton, Virginia, known and designated as 30 UTILITY EASEMENT HEREBY CONVEYED TO H.R.S.D. 4,087 SQ. FT. OR 0.094 ACRES AND 10 TEMPORARY CONSTRUCTION EASEMENT HEREBY CONVEYED TO H.R.S.D 1,109 SQ. FT. OR 0.026 ACRES as shown on that certain plat entitled, PLAT SHOWING EASEMENTS FOR HAMPTON ROADS SANITATION DISTRICT BIG BETHEL ROAD TO J. CLYDE MORRIS BOULEVARD INTERCEPTOR FORCE MAIN REPLACEMENT FROM THE CITY OF HAMPTON, HAMPTON, VIRGINIA, dated February 15, 2008, a copy of which plat is attached hereto and made a part hereof for a more particular description of the aforesaid property. It is further understood and agreed as follows: 1. That all facilities, public works and appurtenant facilities which are installed in said easement shall be and remain the property of the District; that no charge shall at any time be made by the Landowner for the use of the property occupied by the District or for the privilege of constructing, maintaining and operating said facilities and the necessary appurtenances. 2. That the District, its agents and employees, for the purpose of inspecting, maintaining or operating its facilities shall have the right and easement of ingress and egress over the lands of the Landowner adjacent to the described easement between any public or private roads and the described easement in such manner as shall occasion the least practicable damage and inconvenience to Landowner. 3. That the District shall have the right to inspect, rebuild, repair and make changes, alterations, install additional lines and substitutions therein, in the easement herein granted as the District may from time to time deem advisable or expedient, and shall have such rights and privileges as may be reasonably necessary for the full enjoyment or use for any of the aforesaid purposes of the easement and rights herein granted. 4. That the District shall have the right to trim, cut and remove all trees, limbs, undergrowth, shrubbery, landscape plantings of any kind, fences, buildings, structures, paving or other obstructions or facilities on or in said easement which it deems in any way to interfere with the proper and efficient construction, operation and maintenance of the facilities in said easement. Unless hereafter otherwise agreed, the District shall repair or replace only Landowner's ground cover now on the said easement which may be disturbed, damaged or removed as a result of the construction, operation or maintenance of any of the District's facilities, shall restore to as nearly as possible the original condition of the easement, shall remove all trash and other debris of construction or repair from the easement, and shall restore the contours of the surface thereof to as nearly as possible its original condition. 5. That the District shall have the right to remove any object or property parked or stored on said easement which it deems in any way to interfere with the proper and efficient construction, operation and maintenance of the facilities in said easement; that the District shall be held harmless, to the extent allowed by law, for any damage occasioned on said object or property. 6. That the Landowner reserves the right to make use of the land subject to the easement herein granted which may not be inconsistent with the rights herein conveyed, or interfere with the use of the said easement by the District for the purposes aforesaid; provided, however, that unless hereinafter otherwise agreed, the Landowner shall not erect any building or other structure except a fence or paving on the said permanent easement without obtaining the prior written approval of the District; further provided that there are existing gas probes known as probes 12, 13 14 and 18 in the easement area and the Landlord and Tenant reserve the right to continue such use. 7. That the Landowner has seen and carefully examined a copy of the herein above-described plat, is entirely familiar with the quantity of the land covered by the conveyance, and has been fully advised as to the nature of the use proposed to be made of such land by the District and the effect that the easement might have on the value of the remaining property. 8. That the easement and rights granted the District hereunder are intended and shall be usable by and for the benefit of the District as such and any other sanitary district, authority, or any other or additional public or governmental agency or entity, and by any other parties upon prior written approval by the District. 9. That this instrument covers all the agreements between the parties and no representations or statements, verbal or written, have been made modifying, adding to, inconsistent with or changing the terms of this Agreement.
